What is a UCC search?
A UCC search shows financing statements (UCC-1s) filed against a business or person, which reveal lenders or other creditors claiming a security interest in assets like equipment, inventory or receivables.
Why does a buyer need one?
If the seller's assets secure someone else's debt, that lien can follow the assets to you. A search before closing lets the liens be paid off and terminated at closing.
Where are Pennsylvania UCC filings made?
UCC financing statements against Pennsylvania entities are generally filed with the Pennsylvania Department of State. Judgments and tax liens are recorded at the county level, so a thorough search covers both.
Can brokers and lenders order a search?
Yes. Stand-alone UCC and lien searches are available to buyers, sellers, business brokers and lenders.
